Please read these Terms of Service, End User License Agreement, and Privacy Notice carefully before creating an account. By using the Platform, you confirm you have read, understood, and accept all terms.

Part 1 — Terms of Service

1. About Pay.Kita

Pay.Kita is a payment facilitation platform that enables micro-merchants and small businesses in the Philippines to accept digital payments via GCash, Maya, and other supported e-wallets, and to track and manage their sales transactions.

2. Eligibility

  • You must be at least 18 years old.
  • You must be a resident of the Philippines or a duly registered business entity in the Philippines.
  • You must provide accurate, current, and complete information during registration.
  • You must not be prohibited by any applicable law from using the Platform.

3. Account Registration & KYC

To use the Platform, you must register with your full legal name, a valid email address, and a Philippine mobile number (used for OTP verification and wallet linking). You agree that all information you provide is truthful and accurate.

Pay.Kita reserves the right to request additional identity verification documents to comply with Know-Your-Customer (KYC) requirements under Bangko Sentral ng Pilipinas (BSP) regulations and the Anti-Money Laundering Act (AMLA), as amended.

4. Fees & Tier System

  • Free Tier: No service fee for merchants with daily transaction volume below ₱5,000. Ad-supported.
  • Starter Tier: 2% service fee per transaction for merchants with daily volume ₱5,000–₱19,999. Ad-supported.
  • Growth Tier: 4% service fee per transaction for merchants with daily volume ₱20,000–₱100,000. No ads.

Tier assignments are based on your rolling 30-day average daily transaction volume. You will be notified and required to accept updated terms if your tier changes. Fees are deducted before disbursement of funds.

5. Payment Processing

Payments are processed through third-party providers (currently PayMongo, GCash, and Maya). Pay.Kita does not store your customers' payment credentials. Payment processing is subject to the terms and conditions of the respective payment provider.

Collected funds are held temporarily and disbursed to your registered payout account (bank, GCash, or Maya) upon admin-approved payout schedule. Pay.Kita is not a bank and does not provide banking services. Funds in your account do not earn interest.

6. Prohibited Uses

You agree NOT to use the Platform for:

  • Money laundering, terrorist financing, or any activity prohibited under Republic Act 9160 (AMLA), as amended by RA 10365 and RA 11521.
  • Fraudulent transactions, chargebacks manipulation, or identity theft.
  • Selling illegal goods, prohibited substances, or services banned under Philippine law.
  • Circumventing BSP regulations on electronic money or payment systems.
  • Any activity that violates Philippine law or applicable international law.

7. Suspicious Transaction Reporting

Pursuant to the Anti-Money Laundering Act (RA 9160, as amended), Pay.Kita is obligated to monitor transactions and report suspicious or covered transactions to the Anti-Money Laundering Council (AMLC). Covered transactions include single-day cash equivalents of ₱500,000 or more. You consent to such reporting as required by law.

8. Account Suspension & Termination

Pay.Kita may suspend or terminate your account immediately if: (a) you breach these Terms; (b) we detect suspicious or fraudulent activity; (c) required by a government authority or court order; (d) you have not used the account for more than 12 months. Pending balances will be disbursed to your registered payout account after verification, subject to deduction of any amounts owed.

9. Limitation of Liability

To the maximum extent permitted by Philippine law, Pay.Kita shall not be liable for: (a) indirect, incidental, or consequential damages; (b) losses due to third-party payment provider downtime; (c) unauthorized access to your account resulting from your failure to secure your credentials; (d) force majeure events.

10. Amendments

Pay.Kita may update these Terms at any time. You will be notified via email or in-app notice at least 15 days before material changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Metro Manila, Philippines, without prejudice to your right to file a complaint with the BSP Consumer Assistance Mechanism or the Department of Trade and Industry (DTI).

Part 2 — End User License Agreement (EULA)

12. License Grant

Subject to your compliance with these Terms, Pay.Kita grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Pay.Kita mobile application solely for your personal business operations in the Philippines.

13. Restrictions

You may not:

  • Reverse-engineer, decompile, or disassemble the app.
  • Copy, modify, or create derivative works of the app.
  • Sublicense, sell, or transfer your license to another party.
  • Use the app for any unlawful purpose.

14. Intellectual Property

All intellectual property rights in the app and Platform (including trademarks, source code, design, and content) are owned by Pay.Kita or its licensors. Nothing in these Terms transfers any IP rights to you.

15. Updates & Availability

Pay.Kita may release updates to the app at any time. Continued use of the app after an update constitutes acceptance of the updated version. The Platform may be temporarily unavailable due to maintenance or circumstances beyond our control.

Part 3 — Privacy Notice

This notice is issued pursuant to Republic Act 10173 (Data Privacy Act of 2012) and the implementing rules of the National Privacy Commission (NPC).

16. Data We Collect

  • Identity data: full name, email address, mobile number.
  • Transaction data: payment amounts, channels, timestamps, store identifiers.
  • Device data: device ID, platform (iOS/Android), last-seen timestamp.
  • Usage data: in-app activity logs for security and fraud prevention.

17. Purpose of Processing

  • To register and maintain your account.
  • To process and record digital payments.
  • To comply with AMLA, BSP, and other legal obligations including suspicious transaction reporting.
  • To send OTP verification messages and important account notifications.
  • To display advertisements (free and starter tier only).

18. Data Sharing

Your data may be shared with: (a) payment processors (PayMongo, GCash, Maya) as necessary to process transactions; (b) government authorities (AMLC, BSP, NPC, law enforcement) as required by law; (c) cloud infrastructure providers under data processing agreements. We do not sell your personal data to third parties.

19. Data Retention

Transaction records are retained for a minimum of 5 years as required under AMLA. Account data is retained for the duration of your account plus 3 years after closure. You may request data deletion subject to legal retention requirements.

20. Your Rights

Under the Data Privacy Act, you have the right to: (a) be informed of how your data is processed; (b) access your personal data; (c) correct inaccurate data; (d) object to processing; (e) erasure or blocking of data; (f) file a complaint with the National Privacy Commission (www.privacy.gov.ph).

21. Data Security

Pay.Kita employs industry-standard security measures including TLS encryption in transit, bcrypt hashing for PINs and passwords, and access controls. In the event of a personal data breach, we will notify the NPC and affected users within 72 hours as required by NPC Circular 16-03.
